1. About Us
These Terms and Conditions apply to the supply of goods and services by A.C.P. Services Limited ("ACP", "we", "us" or "our") to the customer ("Customer", "you" or "your").
ACP supplies, installs, services, repairs and calibrates commercial garage and vehicle workshop equipment throughout the United Kingdom, including brake testers, vehicle lifts, pit jacks, play detectors, headlamp testers, MOT equipment and associated products.
Unless expressly agreed otherwise in writing, these Terms and Conditions apply to all quotations, orders, contracts, sales, installations, servicing, calibration and repair work carried out by ACP.


2. Business Customers
These Terms and Conditions are primarily intended for customers purchasing goods or services wholly or mainly for the purposes of a business, trade, craft or profession.
Where a Customer is acting as a consumer, nothing in these Terms and Conditions shall affect any statutory rights available to that Customer.


3. Quotations
3.1 Any quotation issued by ACP is an invitation to place an order and does not constitute a binding offer unless expressly stated otherwise.
3.2 Unless otherwise stated, quotations are valid for 30 days from the date of issue.
3.3 Quotations are based upon the information available to ACP at the time they are prepared.
3.4 If additional work, parts, materials, labour, access equipment, civil works or other services are subsequently found to be necessary, ACP reserves the right to make an additional charge.
3.5 Unless specifically stated, quotations do not include building works, electrical supplies, compressed air supplies, groundworks, pit alterations, concrete works, making good, decorating or other works by third parties.
3.6 All prices are exclusive of VAT unless expressly stated otherwise.


4. Orders and Acceptance
4.1 An order placed with ACP constitutes an offer by the Customer to purchase the goods or services specified.
4.2 A binding contract is formed when ACP accepts the Customer's order in writing, issues an order acknowledgement, commences work, dispatches goods or otherwise confirms acceptance.
4.3 The Customer is responsible for checking that the description, quantity, specification, dimensions and intended application of the goods or services shown on the quotation or order confirmation are correct.
4.4 Any changes requested after acceptance of an order may be subject to additional charges and may affect delivery or installation dates.


5. Prices
5.1 Prices are those stated on ACP's quotation or order confirmation.
5.2 ACP reserves the right to adjust prices before delivery where there has been a significant increase outside ACP's reasonable control in:

  • manufacturer or supplier prices;

  • freight or delivery charges;

  • import duties or taxes;

  • exchange rates;

  • material or labour costs; or

  • other costs directly associated with supplying the Customer's order.

5.3 Any material price variation will be notified to the Customer where reasonably practicable before supply.


6. Payment Terms
6.1 Payment terms shall be as specified on ACP's quotation, invoice or order confirmation.
6.2 Where no alternative terms are agreed in writing, invoices are payable within 30 days of the invoice date.
6.3 ACP may require a deposit, staged payments or payment in full before ordering, manufacturing, dispatching or installing equipment.
6.4 Deposits paid for specially ordered, manufactured or configured equipment may be non-refundable once ACP has committed to the manufacturer's or supplier's costs.
6.5 The Customer shall not withhold or set off payment against any amount owed to ACP unless the deduction has been agreed by ACP in writing or the Customer has a legal right to do so.


7. Late Payment
7.1 Where a commercial invoice is overdue, ACP reserves the right to charge interest and recover compensation and reasonable recovery costs in accordance with applicable late-payment legislation.
7.2 ACP may suspend further deliveries, servicing, repairs, calibration work, installation work or account facilities while overdue sums remain outstanding.
7.3 Suspension of work due to non-payment shall not relieve the Customer of its obligation to pay sums already due.


8. Delivery
8.1 Any delivery or completion date given by ACP is an estimate unless ACP expressly agrees in writing that time is of the essence.
8.2 ACP shall use reasonable endeavours to meet estimated delivery dates but shall not be responsible for delays caused by circumstances outside its reasonable control.
8.3 Such circumstances may include manufacturer delays, shipping delays, customs delays, shortages, adverse weather, industrial action, transport disruption or events of force majeure.
8.4 Delivery shall be deemed completed when the goods are delivered to the agreed delivery location.
8.5 The Customer must provide suitable and safe access for delivery vehicles and unloading.
8.6 Unless expressly included in ACP's quotation, responsibility for forklifts, cranes, HIAB vehicles or specialist unloading equipment rests with the Customer.


9. Risk and Title to Goods
9.1 Risk in goods passes to the Customer when the goods are delivered to the agreed delivery location.
9.2 Legal title to goods supplied by ACP shall remain with ACP until ACP has received payment in full for those goods and, where legally permitted, all other sums due to ACP from the Customer.
9.3 Until ownership passes, the Customer shall:

  • keep the goods identifiable as ACP's property;

  • keep them adequately insured;

  • maintain them in satisfactory condition; and

  • not sell, dispose of or encumber them other than in the ordinary course of its business.

9.4 Where payment remains overdue, ACP may, to the extent permitted by law, require the Customer to return goods for which title has not passed and may enter premises at a reasonable time for the purpose of recovering those goods where lawful to do so.


10. Installation
10.1 Where installation is included, the Customer is responsible for ensuring that the site is ready before ACP engineers attend.
10.2 Unless agreed otherwise, the Customer shall provide:

  • safe and unrestricted access to the installation area;

  • suitable foundations, pits and civil works;

  • suitable electrical supplies and isolators;

  • suitable compressed air supplies where required;

  • adequate lighting;

  • clear working space;

  • safe vehicle access;

  • any necessary planning permission or landlord consent; and

  • a site that complies with applicable health and safety requirements.

10.3 Dimensions supplied by ACP for foundations, pits, ducts, recesses or equipment positioning must be checked by the Customer and/or its building contractor before work begins.
10.4 ACP will not normally be responsible for inaccuracies in building or civil works performed by the Customer or by third-party contractors.
10.5 If ACP engineers cannot commence or complete installation because the site is not ready, is unsafe, access is unavailable, services are unsuitable or required works have not been completed, ACP reserves the right to charge for:

  • aborted attendance;

  • engineer travelling time;

  • accommodation where applicable;

  • additional labour;

  • transport; and

  • any subsequent return visit.

11. Electrical and Civil Works
11.1 Electrical, civil engineering, structural and building work is excluded unless specifically identified as included in ACP's quotation.
11.2 Where another contractor carries out such work, ACP is not responsible for that contractor's workmanship.
11.3 The Customer must ensure that electrical installations and other services provided for the equipment comply with applicable regulations and the equipment manufacturer's requirements.


12. Commissioning and Handover
12.1 Following installation, ACP may carry out commissioning, testing and operational checks appropriate to the equipment supplied.
12.2 Where required, the Customer must make an appropriate representative available to receive operating instructions or training.
12.3 The Customer remains responsible for ensuring that its employees and operators are suitably trained and competent to use the equipment.
12.4 Equipment must only be operated in accordance with the manufacturer's instructions, operating manuals and applicable health and safety requirements.


13. Calibration
13.1 Calibration services are performed using appropriate procedures and equipment relevant to the equipment being calibrated.
13.2 A calibration certificate confirms the condition and results of the equipment at the time the calibration was carried out.
13.3 ACP cannot guarantee that equipment will remain within calibration throughout the calibration period where its accuracy is subsequently affected by:

  • wear and tear;

  • impact or accidental damage;

  • electrical faults;

  • mechanical faults;

  • contamination;

  • misuse;

  • alteration;

  • environmental conditions;

  • movement of the equipment; or

  • repair or intervention by another party.

13.4 Where equipment fails calibration due to a defect requiring repair, repair work and replacement components may be chargeable in addition to the calibration fee.
13.5 Unless otherwise agreed, calibration does not include repairs or replacement parts.


14. Servicing
14.1 Servicing is intended to inspect and maintain equipment and identify defects reasonably apparent during the service.
14.2 A service does not guarantee that the equipment will remain fault-free until its next scheduled service.
14.3 ACP shall not be responsible for latent defects or failures that could not reasonably have been identified during the service.
14.4 Recommendations made following a service or inspection should be acted upon promptly by the Customer.
14.5 ACP reserves the right to advise that equipment should not be used where, in ACP's reasonable opinion, continued operation may be unsafe.


15. Repairs and Fault Finding
15.1 Charges for fault finding and repairs may include travelling time, labour, parts, consumables and other reasonable costs.
15.2 Where ACP attends a reported fault and discovers that the fault is caused by matters outside ACP's responsibility, the attendance will be chargeable.
15.3 This may include faults resulting from:

  • loss or interruption of electrical supply;

  • damaged cabling;

  • network or IT problems;

  • compressed air failure;

  • misuse or operator error;

  • accidental damage;

  • third-party work;

  • water ingress;

  • building works;

  • unsuitable environmental conditions; or

  • failure of equipment not supplied or maintained by ACP.

15.4 ACP may provide an estimate before major repair work. Where further defects become apparent after dismantling or investigation, ACP will notify the Customer where reasonably practicable before incurring significant additional cost.


16. Call-Out Charges
16.1 Unless covered by a specific maintenance or warranty agreement, site attendance may be subject to a call-out charge.
16.2 A call-out charge may apply even where:

  • no fault is found;

  • the problem is caused by another item of equipment;

  • access to the equipment cannot be obtained;

  • the equipment cannot be repaired during the first visit;

  • parts must subsequently be ordered; or

  • the Customer cancels after an engineer has commenced travelling.

17. Cancellation of Service and Installation Visits
17.1 Customers should provide as much notice as reasonably possible when cancelling or rearranging an agreed site visit.
17.2 ACP reserves the right to charge reasonable costs incurred where a visit is cancelled at short notice, including engineer time, travel, accommodation or specialist equipment already booked.


18. New Equipment Warranty
18.1 New equipment is supplied with the manufacturer's applicable warranty unless ACP expressly provides an alternative warranty in writing.
18.2 Warranty duration and coverage may vary between manufacturers and products.
18.3 Any additional ACP warranty must be confirmed in writing and may be subject to specified servicing, inspection and maintenance requirements.
18.4 Warranty cover does not normally include failures caused by:

  • misuse or abuse;

  • overloading;

  • accidental damage;

  • unauthorised modification;

  • failure to maintain the equipment;

  • use contrary to manufacturer's instructions;

  • unsuitable electricity or compressed air supplies;

  • water or environmental damage;

  • normal wear and tear;

  • consumable components;

  • third-party repairs or alterations; or

  • faults outside the equipment supplied by ACP.

18.5 The Customer must notify ACP promptly after discovering a suspected warranty defect.
18.6 ACP may require reasonable access to inspect the equipment before determining whether a repair is covered by warranty.


19. Used and Reconditioned Equipment
19.1 Used or reconditioned equipment may show signs of previous use, cosmetic wear and age appropriate to the equipment.
19.2 Any specific warranty supplied with used equipment will be stated on the quotation or invoice.
19.3 Where used equipment is expressly sold without warranty, this will be clearly identified before sale, subject always to any rights that cannot lawfully be excluded.


20. Spare Parts
20.1 The Customer is responsible for supplying accurate equipment details when ordering spare parts, including model, serial number and other information reasonably requested by ACP.
20.2 Specially ordered electrical, electronic, programmed or manufacturer-specific components may not be returnable unless faulty.
20.3 Parts that have been installed, damaged, modified or used may not be accepted for return unless defective.


21. Returns
21.1 Business customers have no automatic right to cancel correctly supplied goods simply because they are no longer required unless ACP agrees otherwise.
21.2 Any return must be authorised by ACP before the goods are returned.
21.3 Where ACP agrees to accept correctly supplied goods back, ACP may apply a reasonable restocking or handling charge.
21.4 Returned goods must be unused, complete and in resalable condition unless being returned because they are defective.
21.5 Bespoke, specially manufactured, programmed or specially ordered goods will not normally be accepted for return.


22. Customer-Supplied Information
22.1 ACP may rely on measurements, drawings, specifications and other information supplied by the Customer.
22.2 The Customer is responsible for ensuring that such information is complete and accurate.
22.3 ACP shall not be responsible for additional costs or delays resulting from inaccurate or incomplete information supplied by the Customer.


23. Health and Safety
23.1 The Customer shall provide a safe working environment for ACP employees and subcontractors.
23.2 ACP personnel may stop work or leave site where they reasonably consider conditions to be unsafe.
23.3 Additional costs resulting from an unsafe site or inability to work safely may be charged to the Customer.
23.4 The Customer must inform ACP before attendance of any known hazards, restrictions, site rules or permit requirements.


24. Subcontractors
ACP may use suitably qualified subcontractors or specialist third parties to carry out all or part of the services where reasonably necessary.


25. Limitation of Liability
25.1 Nothing in these Terms and Conditions excludes or limits ACP's liability where it would be unlawful to do so, including liability for death or personal injury caused by ACP's negligence or fraud or fraudulent misrepresentation.
25.2 Subject to clause 25.1, ACP shall not be liable for indirect or consequential loss arising from a contract with the Customer.
25.3 Subject to applicable law and the requirement for contractual terms to be reasonable, ACP shall not be liable for loss of:

  • profit;

  • revenue;

  • production;

  • business;

  • contracts;

  • anticipated savings;

  • goodwill; or

  • business opportunity,

where such loss is indirect or consequential.
25.4 ACP shall not be responsible for loss resulting from circumstances outside its reasonable control.
25.5 Where reasonably permitted by law, ACP's total liability arising out of a particular contract shall not exceed the total amount paid or payable to ACP under that contract, except where a different liability limit is expressly agreed in writing.


26. Customer's Responsibility for Downtime
The Customer is responsible for making appropriate business-continuity arrangements for the possibility of equipment failure, servicing, calibration, repair or parts delays.
ACP cannot guarantee that replacement components, engineers or manufacturer support will always be immediately available.


27. Force Majeure
ACP shall not be liable for failure or delay in performing its obligations where caused by events outside its reasonable control, including but not limited to:

  • extreme weather;

  • fire;

  • flood;

  • epidemic or pandemic;

  • war;

  • civil disturbance;

  • industrial action;

  • transport disruption;

  • supply-chain failure;

  • manufacturer delays;

  • shortages of parts or materials;

  • failure of utilities or communications networks;

  • government action; or

  • import or customs delays.

28. Manufacturer Changes
Manufacturers may change product designs, specifications or components without prior notice.
Where such changes do not materially affect the function of the equipment, ACP may supply the manufacturer's current specification.


29. Intellectual Property
All intellectual property rights relating to manufacturers' products, software, documentation, drawings and technical information remain with their respective owners.
Any quotation, drawing, layout, technical proposal or other material produced by ACP remains ACP's property and must not be reproduced or supplied to a third party for commercial use without ACP's consent.


30. Software and Networked Equipment
30.1 Some equipment supplied by ACP may rely upon software, computer networks, internet connections or third-party systems.
30.2 ACP is not responsible for failures caused by the Customer's IT infrastructure, network security, internet connection, computer hardware or third-party software unless ACP has expressly contracted to supply or maintain those systems.
30.3 Software may be subject to separate manufacturer or software-provider licence terms.


31. Data Protection
ACP will process personal information in accordance with applicable UK data protection legislation and ACP's Privacy Policy.
Customer contact information may be used where reasonably necessary to:

  • process orders;

  • arrange deliveries;

  • arrange engineer visits;

  • provide quotations;

  • maintain service and calibration records;

  • manage accounts; and

  • provide relevant customer support.

32. Complaints
If the Customer believes that goods or services supplied by ACP are defective or do not comply with the agreed contract, the Customer should contact ACP as soon as reasonably practicable and provide sufficient information for ACP to investigate.
ACP will be given a reasonable opportunity to inspect the goods or investigate the services concerned and, where appropriate, remedy any defect for which ACP is responsible.


33. Termination and Suspension
ACP may suspend performance or terminate a contract where:

  • the Customer fails to make payment when due;

  • the Customer becomes insolvent or enters an insolvency procedure;

  • ACP reasonably believes the Customer will be unable to pay its debts;

  • the Customer commits a serious breach of the contract; or

  • ACP personnel cannot safely perform the work.

Termination shall not affect ACP's right to recover sums already due or costs reasonably incurred.


34. Entire Agreement
The quotation, order confirmation and these Terms and Conditions together constitute the agreement between ACP and the Customer unless otherwise agreed in writing.
The Customer acknowledges that it has not relied upon any statement or representation not contained within the agreed contract, except where liability for that statement cannot lawfully be excluded.


35. Variation
No variation to these Terms and Conditions shall be binding unless agreed in writing by an authorised representative of ACP.


36. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in effect.


37. Waiver
Failure or delay by ACP in exercising any right under these Terms and Conditions shall not constitute a waiver of that right.


38. Third-Party Rights
Unless expressly stated otherwise, no person other than ACP and the Customer shall have any right to enforce the terms of the contract.


39. Governing Law and Jurisdiction
These Terms and Conditions and any dispute or claim arising from them shall be governed by the laws of England and Wales.
The courts of England and Wales shall have jurisdiction in relation to disputes arising out of or in connection with these Terms and Conditions, subject to any mandatory legal rights that apply.
